User Agreement

This User Agreement (“Agreement") constitutes the agreement between Siddham Networkit Private Limited, the owner of the Aspireit Application and Website ("App") (referred to as "company," "we," "us," "our," or "Aspireit"), and you (including the legal guardian/parent of a minor) ("you," "your," or "user"). It outlines our responsibilities to you and yours to us regarding your utilization of the App concerning the Services. By agreeing to adhere to the terms of this Agreement, you consent to be bound by the Terms and Conditions, inclusive of the Privacy Policy ("Terms"), and any other legal notices, conditions, or guidelines posted on the App, which are binding on you, your heirs, executors, administrators, successors, and/or assigns. The Company retains all rights to amend, modify, update, or revise this Agreement at any time with or without prior notice. Your continued use of the App implies your acceptance of any revised terms and conditions we may implement. If you disagree with any of the terms and conditions outlined herein or decline to accept any updates to this Agreement, it is recommended that you refrain from using this App for the Services. We advise you to periodically review the User Agreement on our App to stay informed of any changes we may introduce.

DEFINITIONS AND INTERPRETATION

In this Agreement, unless context indicates otherwise, the following terms hold the corresponding meanings:

"Activity" refers to the gigs or actionable events engaged in by you through the App.

"Associate Apps" encompass all other applications, platforms, and apps owned and operated by the Company.

"Content" denotes the information provided on the App in any format and capable of being stored on a computer, including but not limited to trademarks, service-related information, contact details, graphics, functions, and other materials available, whether publicly posted or privately transmitted. It also encompasses derivative works, the App's design structure, compilation, and all content like text, images, audio, video, scripts, code, documents, databases, the mascot, source code, and any other form of information made accessible on the App by us.

"Information" signifies any data you furnish to the App, including your picture, name, contact details, skills, specializations, interests, causes, experience, qualifications, email addresses, text, software, music, sound, photographs, graphics, video, messages, or other materials uploaded, posted, or stored in connection with your use of the Services.

"Members" include users of this App who have registered an account and can access and utilize the Services.

"Services" encompass all features available on the App, including but not limited to applications, communications, software, feeds, networking, posting, and any other services provided on this App to Members from time to time.

In this Agreement: (a) headings are for convenience and do not affect interpretation; (b) singular words include the plural; and (c) "including" indicates including but not limited to.

SCOPE AND REGISTRATION

By registering as a Member on this App, you are acknowledging your commitment to this Agreement, which must be understood alongside the Terms at all times. Should any conflict arise in terms or interpretation, this Agreement takes precedence over the Terms. The Terms are integrated into this Agreement by reference.

The Company retains the unilateral right to deny you access to the Services or any part thereof without prior notice for the following reasons: (a) unauthorized access or use by you; (b) attempted assignment or transfer of any rights granted to you under this Agreement; (c) violation of any other terms and conditions outlined in this Agreement.

Additionally, the Company reserves the right to restrict your usage of the Services, including your connections and ability to contact other Members.

Furthermore, the Company holds the unilateral right to modify, alter, change, or discontinue the Services or any part thereof at any time, without penalty and without prior notice, for any reason whatsoever.

YOUR ACCOUNT

You agree to fully and accurately provide the Information requested by us when setting up your account and to regularly update such Information. Your failure to do so may affect your experience using this App and may limit your ability to use your account and/or the Services.

You agree that we are at the liberty to blur out the graphic Content posted by you on the App in case the same consists of some gruesome/ inappropriate pictures/images or videos.

In addition to blurring, we may also restrict your account activity on the App. In case we have a reasonable cause to believe that the Content posted by you is in violation of this Agreement or breach of applicable laws, we shall remove the Content or information you share on the App or suspend or terminate your account based on the nature of the breach.

When prompted, you agree to provide your correct age and consent before viewing any Content which consists of sensitive graphics, images or videos.

You hereby agree and confirm that you are legally responsible for all Information you share in connection with your use of the Services. You agree to only provide Information that does not violate the law nor anyone's rights (including intellectual property rights). You hereby agree and acknowledge that the Company may be required by law to remove certain Information in certain countries or under certain circumstances. The Company is not responsible for your Information in any manner whatsoever.

You acknowledge that your account shall be set to default privacy settings at the time of creation which allows your Information to be viewed by all users of the App.

Should you wish to change the privacy settings of your account, you may do so under the Settings and Privacy tab on the App. Of course, if you choose not to disclose certain information, your experience using this App may be affected and your ability to use your account and/or the Services may become limited.

You hereby grant the Company a worldwide, royalty-free, transferable, sub-licensable and non-exclusive license to use, reproduce, display, perform, copy, modify, edit, distribute, publish, exhibit and process your Information for any and all non-commercial purposes and in accordance with the terms of this Agreement, the Terms and without us requiring any further consent from you and/or providing any notice and/or compensation to you or other. This license is limited in the following ways:

• You may terminate this license for specific Information by deleting such Information from your account or by closing your account. However, this license may not be terminated by you with respect to Information that (a) you may have shared with other users as part of the App and they have copied, re-shared it or stored it and (b) for the reasonable time it takes to remove such Information from the App backup and other such systems.
• We will not include your Information in advertisements for the products and services of third-party advertisers or ad networks or to others without your separate permission. However, we may, without any compensation to you or others, use your Information to show you ads similar to your Information and your social actions may be visible and included with ads, as more specifically described in the Privacy Policy. If you use an App feature, we may mention that with your name or photo to promote that feature within our App and on other public and social media platforms like Instagram, LinkedIn etc., subject to your settings. We have a right to use the Content created by you for marketing purposes of our App, including displaying your name and photo in the leaderboards and decks in marketing and promotional materials.
• While we may edit and format the Information you share, however, we shall not change the meaning of your expression of such Information.
• You may choose to make your Information available to other users of the App.
• You agree and acknowledge that we may access, store, process, and use your Information in accordance with the terms of the Privacy Policy and your choices including your account settings.

YOUR PASSWORDS AND ACCOUNT SECURITY

You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.

Accordingly, you agree that you will be solely responsible to Aspireit for all activities that occur under your account.

If you become aware of any unauthorized use of your password or of your account, you agree to notify Aspireit immediately at support@aspireit.net.in

LICENSE

We hereby grant you a limited, revocable, non-assignable, non-transferable and non-exclusive license to access the App and use the Content for the purpose of availing the Services, provided and expressly conditioned upon your agreement that all such access and use shall be governed by all of the terms and conditions set forth in this Agreement.

TERM AND TERMINATION

You agree to utilize the Services provided on this App for a duration beginning on the day you become a Member and ending on the day you delete your account ("Term"). You acknowledge that the Term ends only upon explicit deletion of your account.

You have the option to cancel or terminate this Agreement at any time by deleting your account or contacting us at support@aspireit.net.in.

This Agreement and the granted license rights shall remain valid unless terminated or canceled for any reason. Termination or cancellation of this Agreement does not affect any rights or remedies to which the Company may be entitled, whether at law or in equity. Upon termination of this Agreement, all granted rights revert to the Company.

In the event of non-compliance with this Agreement or the Terms, we reserve the right to terminate your access or usage rights to the App and may revoke the Services at any time, without penalty and without notice, or remove non-compliant information, or both, as applicable.

• Notice of revocation of the Services by the Company may be sent to the primary email address associated with your account. Upon termination, the Company has the right, but not the obligation, to delete all data, files, or other Information stored in your account. Any amounts owed by the Company prior to termination will be forfeited after termination.



The following provisions shall survive termination:

• Our rights to use and disclose your feedback;
• Members and/or users' rights to further re-share content and information you shared through the Services;
• Restrictions and Permissions of User, Disclaimer, and Limitation of Liability (under the Terms and Conditions) shall survive the termination of this Agreement;
• Our right to retain your information for as long as necessary for those purposes.

USE OF COMMUNICATION FACILITIES

This App hosts Communication Facilities such as messages/bulletin boards, posts, community feed, forums, chat rooms, group posts, project postings, studios, or other communication channels ("Communication Facilities"). You agree to use these Communication Facilities solely for sending and receiving messages, Information, and materials that are appropriate and relevant to the specific Communication Facility. Please note that any messages and materials you share or post may be visible to other users. Additionally, when using a Communication Facility, you agree not to:

• Publish, post, distribute, or disseminate any defamatory, infringing, obscene, indecent, or unlawful material or information, or anything that infringes any patent, trademark, copyright, or other proprietary rights.
• Share any information or Content that does not belong to you and for which rights belong to another person.
• Engage in defamatory, abusive, harassing, stalking, threatening, or otherwise violating the legal rights (such as rights of privacy and publicity) of others.
• Upload files containing viruses, corrupted files, or any other harmful software or programs that may damage another's computer or files containing software or material protected by intellectual property laws unless you own or control the rights or have obtained all necessary consents.
• Download files posted by another user of a Communication Facility that you know, or should reasonably know, cannot be legally distributed.
• Conduct contests, surveys, or distribute chain letters or spam.
• Misuse by posting malicious or ill-intentioned messages.
• Deceive or mislead us about the origin of a message or knowingly communicate false or misleading information that may be reasonably perceived as fact.

If you violate the posting guidelines outlined above, we will promptly remove or disable access to such material or Information within 3 business days upon receipt of notice or notification, voluntarily or from another Member or user.

Furthermore, we will retain records of violative materials, Information, or messages for 180 days for investigation purposes or longer periods as required by authorities and in compliance with the law. We reserve the right to immediately terminate your account and restrict your access to the App and Services in such cases.

Where available, we will respect your choices regarding who can view messages, Information, and materials posted by you (e.g., sharing content only with connections or adjusting profile visibility on search engines). For project searches, users can view participants.

Please note that we are not a storage service, and we do not commit to storing or displaying any messages, materials, or Information you have posted. We have no obligation to store, maintain, or provide you a copy of any messages, materials, or Information, except as required by applicable law and outlined in our Privacy Policy.

Exercise caution when transacting based on messages or materials posted on Communication Facilities. Such messages and materials represent the views of the individuals posting them, and the Company assumes no liability for any messages posted therein.

We view Members as integral to 'Aspireit' and encourage responsible and professional engagement. Members should adhere to house rules outlined in the Community Guidelines for a positive environment. The Community Guidelines are part of this Agreement by reference.

EXCLUSIVE REMEDY

If you encounter any issues with the App, the Services, and/or the Content, you agree that your only recourse is to stop using the App and the Services. Under no circumstances shall the Company and/or its associate entities and/or Associate Apps be held liable in any manner for your usage of the App or the Services, whether directly or indirectly, including, but not limited to, any errors or omissions, any infringement of intellectual property rights or other third-party rights, or any loss or damage incurred as a result of, or in connection with, the utilization of the App or the Services provided on or through the App.

OTHER REMEDIES

You recognize that any violation or attempted violation of this Agreement will result in irreparable harm to the Company and/or the Associate Apps, the exact extent of which would be difficult to determine and for which there would be no sufficient remedy available under the law. Therefore, you agree that the Company is entitled to seek an injunction from any court of competent jurisdiction to restrain such violation or attempted violation of this Agreement by you, your affiliates, partners, or agents. Additionally, you agree to reimburse the Company for any and all costs and expenses incurred in obtaining such an injunction, including reasonable attorney's fees. You acknowledge that no bond or other security will be necessary in connection with such an injunction.

Under no circumstances will you be entitled to rescission, injunctive relief, or any other equitable remedy, or to restrain or restrict the operations of the Company, the use of any advertising or other materials associated with it, or the utilization of the App or any Content displayed through the App.

COMMUNICATION METHODS

Please be aware that the Company retains the right to contact you using the method and manner it deems appropriate. Such communications may include emails, notifications, and/or notices sent by the Company to you, at its sole discretion. While you have the option to disable certain notifications and manage your preferences, you acknowledge and confirm that the Company retains the right to communicate with you regarding the Services, the App, the Agreement, and the Terms, using any method or manner it sees fit. You understand and agree that any communication sent to you by the Company through any chosen method or manner shall be considered sufficient for communicating with you.

MISCELLANEOUS

• If any portion of this Agreement is deemed unenforceable, the remaining parts will still be fully effective.
• Our failure to enforce any aspect of this Agreement does not waive any rights or claims we may have.
• You may not transfer any of your rights or obligations under this Agreement without our prior written consent.
• We have the right to freely assign all of our rights and obligations under this Agreement in connection with a merger, acquisition, or asset sale, or by operation of law or otherwise.
• This Agreement does not grant any rights to third-party beneficiaries.
• A printed version of this Agreement and any related notices provided electronically will be admissible in judicial or administrative proceedings to the same extent and under the same conditions as other business documents and records originally generated and maintained in printed form.

GOVERNING LAW AND JURISDICTION

This Agreement will be governed by and interpreted in accordance with the laws of the Republic of India. You expressly agree that regardless of your citizenship or residency status and whether or not you reside in India, you will be subject to the data protection laws and regulations of the Republic of India. You explicitly consent to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India for any disputes arising from or related to this Agreement.

RELATIONSHIP

You acknowledge and agree that your use of the App and our provision of the Services do not create a joint venture, partnership, employment, or agency relationship between you and us.
